Welcome to MiX Inventory Services. MiX Inventory Services LLC and/or its affiliates (“MiX”) provide website features and other products and services to you when you visit or shop at mixinventory.com, use MiX products or services, use MiX applications for mobile, or use software provided by MiX in connection with any of the foregoing (collectively, “MiX Services”). By using MiX, you agree, on behalf of yourself and your company to the following conditions. These Conditions of Use govern the use of products, software, applications, and services offered by MiX. Please read them carefully.

License Agreement Overview

MiX grants users a non-exclusive, non-transferable, non-sublicensable license to access and use our software and services under specific terms:

• The software may be used on devices owned or controlled by you.
• Redistribution, modification, reverse engineering, and creation of derivative works are strictly prohibited without MiX’s prior written consent.
• Any breach of this agreement may result in legal consequences, including termination of access rights.

User Responsibilities

• You are responsible for maintaining the security of your account and for all activities that occur under your credentials.
• You agree not to use MiX services for unlawful purposes or in ways that violate intellectual property rights, trade secrets, or regulations.

Intellectual Property

All software, content, graphics, and documentation provided by MiX are the exclusive property of MiX Inventory Services LLC. You may not use our trademarks, logos, or any proprietary material without express written permission.

Privacy and Data Usage

MiX may collect technical and user data to:

• Provide product support.
• Improve services.
• Facilitate updates.

This data is handled in accordance with our Privacy Policy. We do not assert ownership over user-generated content but reserve the right to use it in accordance with our license terms.

Contributions and User Content

Users may submit content, suggestions, and other materials, provided they:

• Are original and non-infringing.
• Do not contain spam, obscene, or defamatory material.
• Do not violate any law or third-party rights.

By submitting content, you grant MiX an irrevocable, royalty-free, global license to use, distribute, and display your contributions.

Disclaimer of Warranties & Limitation of Liability

THE MiX SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE MiX SERVICES ARE PROVIDED BY MiX ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. MiX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE MiX SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE MiX SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE MiX SERVICES IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY LAW, MiX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MiX DOES NOT WARRANT THAT THE MiX SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE MiX SERVICES, AMAZON’S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM AMAZON ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULL EXTENT PERMISSIBLE BY LAW, MiX WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY MiX SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY MiX SERVICE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.

Fees

In return for services and management thereof, MiX reserve the right to:

• Change its pricing policy from time to time,
• Charge a monthly or yearly fee for publishing content – Currently free of charge during launch period, and,
• Retain a percentage off the sales price – Currently set at 15% during the launch period.
• Collect any and all 3rd party fees associated with the transaction – Currently none foreseen.

Payment Terms

MiX will:

• Collect the sales amount right away from the buyer’s account at the time of sale.
• Distribute the proceeds to seller, minus the percentage due to MiX and fees paid by MiX, once the goods are shipped.

No Refunds or Returns Policy

All sales are final. Refunds or returns are not accepted for any MiX products or services unless:

• The product arrives defective or damaged.
• The wrong item was received.
As MiX service is limited to connecting buyers and sellers (e.g. at no time, MiX will take possessions of good in any transaction), MiX, if notified (through the MiX website) within 7 days of receipt, will attempt to rectify the matter between the Seller, Buyer and Shipping Company. In any case, MiX compensation will be limited to the transaction fee collected.

Termination

This agreement remains effective until terminated by either party. Termination may occur for:

• Breach of agreement terms.
• Written mutual consent.
Upon termination, all rights granted to the user will cease, and the user must uninstall and cease all use of the licensed software.

Dispute Resolution & Governing Law

Disputes shall be resolved via arbitration in New Hampshire, as per the laws of the state. Parties waive rights to jury trials and agree to binding decisions by appointed arbitrators.

Updates and Modifications

MiX reserves the right to update these Conditions of Use at any time. Changes will be posted on our official platform, and continued use of the services constitutes acceptance of such changes.
